Terms of Service

Draft pending legal review. This document describes how TKDS intends to operate and may change before it is finalised. Questions: info@tkdsmedia.com.

These terms cover your use of this website and set out, at a high level, how TKDS works with the organisations that run MediaCore2. What you buy — modules, add-ons, fees, term and service levels — is governed by your order form, which wins wherever the two differ.

01Who you’re dealing with

The MediaCore2 website and platform are provided by TKDS Media, with offices in Cairo, Egypt and Ohio, United States. “TKDS”, “we” and “us” mean TKDS Media. “You” means the person using this site, or the organisation they act for.

By using this site you accept these terms. If you accept them for an organisation, you confirm you’re authorised to do so.

  • The site — this website, including its documentation.
  • The platform — MediaCore2 as provided to a customer: a public site, TV and mobile apps, and the Studio.
  • Operator — a customer running a platform under its own brand.
  • Order form — the signed document that sets out a customer’s modules, add-ons, fees, term and service commitments.

A customer relationship is made of a few documents. Where they conflict, they apply in this order:

03Using this site

Read it, share its pages and link to it. Please don’t:

  • Probe, scan or attack the site, or try to reach anything that isn’t published
  • Copy it at a volume that burdens it, or republish it as your own
  • Send false details through a demo request, contact form or partner application
  • Use it to send spam or anything unlawful

04What the site describes

We describe what MediaCore2 does as precisely as we can, and the figures we publish are checked against the product. Even so, the site is information, not an offer: what your platform includes is defined by your order form.

Capabilities vary with the modules and add-ons switched on for you. Screenshots show representative setups, and each documentation article describes the Studio as it was when that article was last updated.

05Becoming a customer

A platform starts with a signed order form. It sets the modules and add-ons you receive, the fees and how they’re invoiced, the term and renewal, the support and service commitments that apply, and anything agreed specifically for you.

Your platform runs on infrastructure managed for you, and it stays current without maintenance work on your side. Payment terms, and what happens if an invoice goes unpaid, are set in the order form. Taxes apply as the law requires.

06Your content, your audience

You own what you bring to your platform — your videos, recordings, articles and artwork, and your audience and customer list. We claim no ownership of any of it.

You give us the limited permission we need to host, process, stream and deliver that material in order to run your platform. The permission exists only for that purpose, and ends when the material is removed or the agreement ends, subject to the return and deletion terms in the DPA.

You’re responsible for holding the rights to everything you stream and publish, as the Acceptable Use Policy explains.

07Your revenue and your buyers

You connect your own Stripe, PayPal or Square merchant accounts, so payments from your audience go directly to you, on your provider’s payout terms. When you sell a plan, a ticket or a product, you are the seller: your prices, your refund policy and your consumer terms apply, and TKDS isn’t a party to the sale.

  • Recurring subscriptions renew through Stripe or Square. PayPal is available for one-time purchases.
  • Refunds are issued from your payment provider’s dashboard and tracked in your order and payment records.
  • Your merchant accounts remain subject to each provider’s own terms.

08Your team and its access

You decide who works in your Studio and what each person may do. You’re responsible for the staff, crew and scorer accounts you create, and for what happens under them.

  • Give each role only the permissions it needs, and remove access when someone leaves
  • Keep passwords, stream keys and crew logins to the people cleared to use them
  • Use the broadcast console password lock for the settings that could take a broadcast off air
  • Tell security@tkdsmedia.com straight away if you believe an account or a stream key has been compromised

09Our platform

TKDS owns MediaCore2 — the software, its design and documentation, and the MediaCore2 name and marks. Your order form gives you the right to use the platform for its term; it doesn’t transfer the software to you.

White-label means your brand across the viewer experience: your logo, colours, language and domain on your site and apps. The Studio your staff use may carry a small product credit.

Don’t copy, reverse-engineer or resell the platform, or work around its access controls, unless a written agreement — a partner agreement, for example — allows it. If you send us ideas or feedback, we may use them without obligation to you.

10How the platform changes

MediaCore2 keeps improving, and new capabilities reach your platform without work on your side. If we plan to remove or materially reduce something you rely on, we give you reasonable notice first. Planned work that could affect your viewers is communicated as the SLA describes.

11Other services you connect

When you simulcast to Facebook, YouTube, Twitch, X or another destination, or connect a payment provider, a mail account or an analytics account, your account with that service is governed by its own terms. We’re not responsible for its availability or its decisions — a destination ending your stream, for instance.

Links from this site to other websites are there for convenience. We don’t control those sites.

12Confidentiality

Each side keeps the other’s non-public information confidential and uses it only for the relationship — pricing, plans, your audience figures and anything marked or obviously confidential. That doesn’t cover information that is already public, or that the law requires one side to disclose.

13Disclaimers

This site and its documentation are provided as they are, without warranties beyond those the law implies and doesn’t allow to be excluded. Any warranties for the platform are set out in your order form.

14Limits of liability

To the extent the law allows, TKDS isn’t liable for indirect or consequential loss, lost profit or lost revenue arising from your use of this site. Liability within a customer relationship is limited as your order form sets out.

Nothing in these terms limits liability that can’t lawfully be limited, including liability for fraud.

15When a relationship ends

Your order form sets how and when either side can end the agreement, including for serious breach. Before it ends, use the Studio’s exports for your payment and order records and reports, and ask us to return anything else under the DPA. We then delete customer data as the DPA describes.

16Governing law and disputes

Your order form names the law that governs your agreement and where disputes are resolved. Use of this site without an order form is governed by the laws of the Arab Republic of Egypt.

Before anyone goes to court, we’d rather talk. Write to info@tkdsmedia.com and we’ll try to resolve it directly first.

17Changes to these terms

We may update these terms, and we change the date at the top when we do. Updates don’t alter a signed order form, and material changes that affect customers go to their named contacts before they take effect.
